1. Acceptance of Terms

By accessing or using ProDesk AI ("Service"), operated by Source Intelligence Media ("Company," "we," "us"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ProDesk AI provides an AI-powered SMS receptionist service for local businesses. The Service includes:

• A dedicated business phone number for receiving customer texts
• AI-powered automated responses to customer inquiries via SMS
• Missed call follow-up messaging
• Google review request automation
• A web dashboard to manage conversations and settings
• A mobile-optimized Progressive Web App (PWA)

3. Subscription Plans & Billing

ProDesk AI offers the following subscription plans:

• Starter: $79/month
• Pro: $99/month
• Agency: $249/month

Subscriptions are billed monthly in advance. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days notice to existing subscribers. Billing is processed securely through Stripe.

4. SMS Messaging Terms

By using ProDesk AI, you agree to the following SMS terms:

• You authorize ProDesk AI to send and receive SMS messages on behalf of your business using your assigned phone number.
• You are responsible for ensuring your business complies with all applicable SMS regulations including TCPA and CAN-SPAM.
• You must ensure customers who contact your ProDesk AI number have consented to receive automated responses.
• Message and data rates may apply to end users based on their mobile carrier plan.
• Customers can opt out at any time by replying STOP. You must honor all opt-out requests immediately.
• Customers can reply HELP for assistance information.
• Message frequency varies based on customer inquiries.
• You may not use ProDesk AI to send spam, unsolicited messages, or messages that violate any laws.

5. Acceptable Use

You agree not to use ProDesk AI to:

• Send spam or unsolicited commercial messages
• Harass, threaten, or harm any person
• Violate any applicable laws or regulations
• Impersonate any person or entity
• Transmit illegal, harmful, or offensive content
• Interfere with the Service or its infrastructure
• Resell or sublicense the Service without written permission

6. Business Responsibilities

As a business using ProDesk AI, you are responsible for:

• Providing accurate business information including name, services, and hours
• Ensuring your AI responses comply with applicable laws
• Monitoring conversations and overriding the AI when necessary
• Obtaining any required consents from your customers
• Maintaining the confidentiality of your Business ID and account credentials

7. AI Disclaimer

ProDesk AI uses artificial intelligence to generate responses. You acknowledge that:

• AI responses may occasionally be inaccurate or inappropriate
• You are responsible for reviewing and monitoring AI-generated responses
• ProDesk AI does not guarantee the accuracy of AI responses
• Critical business information (pricing, availability, appointments) should be verified by your staff

8. Intellectual Property

ProDesk AI and its original content, features, and functionality are owned by Source Intelligence Media and are protected by intellectual property laws. You retain ownership of your business data and customer conversations.

9. Termination

You may cancel your subscription at any time through your dashboard or by contacting us. We may suspend or terminate your account if you violate these Terms. Upon termination, your dedicated phone number will be released and your data will be retained for 30 days before deletion.

10. Limitation of Liability

To the maximum extent permitted by law, Source Intelligence Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from your use of ProDesk AI. Our total liability shall not exceed the amount you paid for the Service in the preceding 3 months.

11. Indemnification

You agree to indemnify and hold harmless Source Intelligence Media and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Texas.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide 30 days notice of material changes via email. Continued use of the Service after changes constitutes acceptance of the new Terms.
